The capital raising will be done by issuing equity and secured debentures. The strategy is an extension of a financial plan but remains cellular IoT-oriented.

Investment Structure and Offering Details

The company will obtain around 195 million dollars through the equity securities and 189 million dollars through convertible secured debentures. The aggregate offering is at $384 million. This money will help Sequans enter into Bitcoin as a diversification strategy in its treasury.

Sequans will offer more than 1.3 billion regular shares and warrants in a non-public offering. The number of these shares is almost 140 million American Depositary Shares. The offering also comprises warrants that expire 90 days after the closing date.

Issuance will be made in convertible debentures amounting to 189 million principal with an option to buy extra shares. This debt offering will be closed on the success of the equity placement. The two placements will end on July 1, 2025, subject to shareholder endorsement.

Strategic Shift Toward Bitcoin Integration

Sequans plans to collaborate with Swan Bitcoin regarding treasury advisory and the accumulation of BTC. Swan Bitcoin will offer strategic direction and capacity to manage Bitcoin purchases. The alliance suggests increasing tech companies’ interest in integrating crypto assets.

The step places Sequans in an emerging trend of corporations that have adopted Bitcoin as a form of treasury reserves. It pursues the same policies that companies seek to achieve financial stability in the long run. This is timely in line with the general anticipation of the next market cycle for Bitcoin.

Despite the novelty of the treasury initiative, Sequans will continue to develop its 4G and 5G product lines. The company upholds a policy of innovation in the cellular IoT market. This guarantees consistency in its core business despite the venture into digital assets.

Legal and Regulatory Structure of the Offering

The securities are being sold under the U.S. Securities Act of 1933 exemption as Regulation D and Section 4(a) (2). They cannot be resold without a registration statement and are not registered. As part of an investor agreement, the company has undertaken to file resale registration statements.

In the U.S. and France, Sequans is represented by law firms Lowenstein Sandler and ARCHERS. Goodwin Procter represents placement agents. The transaction has Northland Capital Markets and B. Riley Securities as joint lead placement agents.

Yorkville Securities was also a placement agent to this offering. The proceeds will be the funds received upon a successful equity subscription by June 30, 2025. The investors will need to approve it at the next shareholders’ meeting.

Market Impact and Shareholder Position

The shares of Sequans rallied in premarket trading to reach $2.33 upon the announcement. The company had just received notice of listing compliance problems from the New York Stock Exchange. Nonetheless, the strategic move of Bitcoin has resulted in improved investor sentiment.

Sequans still drives its vision of secure and scalable cellular IoT solutions worldwide. Its existing platforms are 4G LTE, LTE-M, NB-IoT, and 5G RedCap.

Bitcoin has given it a new depth in its long-term financial planning by adding it to its balance sheet. More information on treasury operations should come soon, with Swan Bitcoin advising on execution.

The company’s transition to digital assets can be an example to affect other technology companies with a similar capital policy. This trend also strengthens the position of Bitcoin as a corporate reserve asset.
