Nscale IPO Targets $35B Valuation as Contracts Reach $103B

The Nscale IPO could value the Nvidia-backed AI infrastructure provider at up to $35 billion. The British company filed for a New York Stock Exchange listing on Sept. 18 under ticker NSCL.

However, Nscale has not set an IPO price or share count. Reuters reported a target near $30 billion, while the Financial Times cited up to $35 billion. The filing also exposed a wide gap between Nscale’s $103.4 billion contract book and the $2.6 billion already active.

Nscale IPO Nears as its Growth Accelerates

Nscale, a company that competes with other top neocloud providers like CoreWeave, Nebius, and IREN, plans to go public in the United States soon. It has already filed papers that will value it at $33 billion.

If it reaches this valuation, it will become the 32nd-largest company in the UK by market capitalization. It will become larger than popular companies such as BT Group, Aviva, Imperial Brands, Legal & General, and Wise.

The IPO is a major snub to the London Stock Exchange (LSE), which has failed to attract major listings in the past few years. Instead, leading companies such as Flutter Entertainment, Wise, Fergusson, and AstraZeneca have moved their primary listings from the UK to the US.

Nscale has become one of the top beneficiaries of the ongoing artificial intelligence boom. It has attracted some of the biggest companies in the AI industry, including Microsoft, Anthropic, and OpenAI as clients.

Its deal with Microsoft is set to generate over $43 billion in revenue over time, while its deal with Anthropic will generate $44 billion. OpenAI is expected to pay it over $1 billion over time, while Figure AI will rent 10,000 GPUs from it. Its total contracted revenue has soared to over $103 billion.

These deals have led to strong growth this year. In its filing, the company said that its revenue soared by 1,252% in the first half of the year to $140 million. This revenue growth was much faster than other top names like Nebius and CoreWeave.

Nscale Stock Will Face Major Risks Ahead

Nscale stock will benefit from its large deals with some of the world’s largest companies and from the AI business doing well.

Despite all this, it faces some major risks that may hurt its performance. First, its revenue growth has come at a cost, with its losses soaring. Its net loss jumped to $1.02 billion in the first half of the year, even as revenue rose to $140 million. Its loss was much higher than the $368 million it made.

Second, as we have seen with other similar companies, its business will be in constant need for cash as the cost of doing business rises. As the chart below shows, top neocloud companies like CoreWeave, Nebius, and IREN have slumped as investors have lamented about the surging costs.

These companies use several approaches to raise cash, including debt and equity. CoreWeave’s total debt has jumped to over $27 billion, with management expecting to spend over $35 billion in capital expenditure. They also use their shares to raise cash, which leads to more dilution.

Third, the company will contend with the rising competition in the neocloud industry. It will compete with the big names like CoreWeave and IREN. In addition, most Bitcoin mining companies, such as Riot Platforms, MARA Holdings, Cipher Mining, and HIVE Digital, have entered the industry.

Most notably, top clients in the AI industry like SpaceX and Meta Platforms, are also entering the industry. SpaceX has received large orders from companies such as Google, Reflection AI, and Anthropic. In the future, this saturation may lead to a slowdown in the industry, especially if it slows.

Nscale stock will also face the challenges many companies face after going public. This is a situation where their stocks jump and then drop, as we saw with SpaceX.
