Gemini Breaks Silence on IPO Plans, Here Are the Facts

Key Insights:

  • Gemini planned to sell 16,666,667 Class A shares priced at $17 to $19 each.
  • The company applied to list on the Nasdaq under the ticker symbol “GEMI.”
  • Goldman Sachs and Citigroup led the IPO, with Morgan Stanley and Cantor also involved.

Gemini Exchange said it would sell 16,666,667 Class A shares in its coming initial public offering, priced between $17 and $19 each.

The company applied to trade on the Nasdaq Global Select Market under the symbol “GEMI,” with Goldman Sachs and Citigroup leading the deal.

Gemini Sets Out Its IPO Plan

According to a recent release, Gemini, a global crypto platform, discussed its plan to go public, sparking new conversations in the market.

The company has filed with the U.S. Securities and Exchange Commission to sell 16,666,667 shares of Class A common stock.

Per the filing, the crypto exchange said each share is expected to be priced between $17 and $19.

Notably, alongside this, Gemini and selling stockholders gave underwriters a 30-day option.

This option covered the purchase of an extra 2,396,348 shares from Gemini and 103,652 shares from selling stockholders.

These extra shares were meant to cover possible over-allotments. Gemini also applied to list its Class A common stock on the Nasdaq Global Select Market.

The chosen ticker symbol was “GEMI.” The company said the offering was still subject to market and other conditions.

It is important to add that there was no guarantee about the size, timing, or terms of the IPO.

Goldman Sachs and Citigroup were the lead bookrunners, while Morgan Stanley and Cantor Fitzgerald were also named as lead bookrunners.

Other banks included Evercore ISI, Mizuho, Truist Securities, Cohen & Company Capital Markets, Keefe, Bruyette & Woods, Needham & Company, and Rosenblatt.

Academy Securities, AmeriVet Securities, and Roberts & Ryan were listed as co-managers.

Why the IPO is Unique

It is important to state that the IPO showed Gemini’s plan to increase its investor base.

This is because by going public, the company would allow new investors to buy into its business.

At the same time, existing stockholders could sell some of their shares.

The price range of $17 to $19 pointed to the value Gemini expected the market to place on its shares.

The final price would depend on investor demand and market conditions at the time of listing.

Overall, the filing with the SEC also noted that no securities sale could occur until the registration became effective.

This meant that investors could not buy or sell until approval was given.

Gemini’s plan to trade on Nasdaq placed it alongside other firms linked to digital assets that had chosen to go public in the United States.

More importantly, the listing would also give more visibility to the company in traditional financial markets.

How the Offering Would Work

According to the official statement, the company stated that the IPO would only be carried out under regulated conditions.

The exchange also stressed that the prospectus should not be seen as an offer to sell or a call to buy. No securities would be sold in states or regions where proper registration had not taken place.

If the Gemini IPO plan went ahead as expected, trading under the ticker “GEMI” would begin on Nasdaq once the registration was approved.

Gemini’s step into public trading could be an important marker for the link between digital assets and traditional finance.

The outcome would depend on market demand, investor interest, and regulatory approval.

In related news, other firms such as Circle and eToro have gone public in the US as Grayscale recently filed for IPO. Gemini joins the trend as one of the top leading firms looking to attract more investors.
